Wholesale Terms

At EcoMoissanite, we are committed to providing our wholesale partners with ethically sourced, high-quality jewelry. We believe in the enduring beauty and exceptional value of our creations. We have established the following wholesale terms and conditions to ensure a transparent and mutually beneficial partnership. Please review them carefully.

GENERAL WHOLESALE AGREEMENT

This Wholesale Agreement (hereinafter, the “Agreement”) is made and entered into by and between EcoMoissanite (hereinafter “Wholesaler”) and you, “Retailer” (hereinafter, “Retailer”). The Retailer wishes to sell and promote the products the Wholesaler offers in their store. By purchasing wholesale products from EcoMoissanite, the Retailer acknowledges and agrees to all terms and conditions outlined in this Agreement.

WHOLESALER AND RETAILER RESPONSIBILITIES

The Retailer must maintain a current business sales tax certificate on file and provide a copy, with Tax ID, to the Wholesaler. The Retailer must provide a functioning URL owned by the business applying for the wholesale account and/or proof of a physical retail location (e.g., an image and physical address). The Wholesaler will deliver inventory to the Retailer, as agreed. The Wholesaler is not involved in the transaction between the Retailer and the Customer. The Retailer will be responsible for providing exemplary customer service to all actual and potential customers, including taking reasonable measures to respond to all customer inquiries. The Wholesaler is not the agent of either the Retailer or the Customer.

WHOLESALE PRICING

All prices to be provided are in USD or EUR and confidential. Due to the inherent volatility of precious metal and gemstone markets, pricing and availability are subject to change without notice.

The Manufacturer’s Suggested Retail Price (or “MSRP”) is the minimum price at which retailers can sell EcoMoissanite products. Retailers may price the products over the MSRP but are not allowed to sell EcoMoissanite products for less than the MSRP without prior written authorization from EcoMoissanite.

If the Retailer chooses to sell EcoMoissanite products at a discount, the Retailer is not permitted to discount the pieces more than 20% below the MSRP.

MINIMUM ORDER VALUE (MOV)

Our jewelry is available for wholesale purchase and is subject to a Minimum Order Value (MOV). For ready-made designs, opening wholesale orders must meet a minimum value of $6,000. All orders must be paid in full before dispatch. Reorders require a minimum order value of $3,500. Custom jewelry made of gold and platinum can be purchased per piece.

SAMPLE ORDERS
The Wholesaler recognizes the importance of evaluating product quality before establishing a business relationship. For this reason, sample orders are offered and charged at MSRP. If a wholesale order meeting the minimum opening value of $6,000 is placed within 30 days of the sample purchase, a credit equal to the difference between the MSRP and the corresponding wholesale price will be applied to that order. This policy supports transparency and safeguards the integrity of the pricing model.

BILLING

At this time, EcoMoissanite is not extending credit terms. All orders must be accompanied by payment in full at the time of the order.

LEAD TIME

Once an order is placed, please allow 3-4 weeks for production and fulfillment. Lead times may vary due to production constraints or seasonal demand. We will always keep you informed and promptly communicate any changes to you. Orders placed during busy/holiday seasons are subject to longer lead times.

RUSH ORDERS

The Wholesaler may be able to rush your order if the production schedule allows. A rush order is defined as a retailer needing their order to ship out within 7 days of placing the order. Rush orders of up to 10 products will require an additional production fee of $150. Rush orders from 11 products to 20 products will require an additional production fee of $200. Rush orders beyond 20 products will require an additional production fee of 25% of their total order cost. The Retailer will be responsible for any expedited shipping methods. A digital invoice for the additional charges will be issued, and payment must be received prior to the shipment of the rush order.

SHIPPING AND HANDLING

All orders are shipped via tracked expedited methods, and other carriers may be used at the Retailer’s expense. Additional carrier options may be available upon demand. The shipping fee is a flat rate of $50.00 for US and €50.00 for EU orders, which will be invoiced. The shipping fee needs to be paid before the order is sent out.

DAMAGES/DEFECTS

Upon arrival, please inspect all shipments immediately and contact us at sales@ecomoissanite.com within five days of receiving a damaged or defective shipment. Please note that the five-day period begins upon receiving the shipment, not opening it. For example, if an order is received but not opened for six days and is found to be damaged, the return request will not be accepted. All original packaging, including any damaged materials, must be retained and included with the return. The Retailer should never send a knowingly defective product to a customer.

Returned merchandise will be repaired or replaced with new merchandise if it cannot be repaired. However, returned merchandise will not be accepted if held for more than 15 days after receipt or returned without contacting us to report damage or defects as outlined above. The Retailer is responsible for all return shipping charges. We will send a digital invoice for the additional charges that must be paid.

RETURNS / EXCHANGES

Once placed, wholesale orders are made especially for the Retailer. Therefore, merchandise may not be returned or exchanged. The Wholesaler will only accept returns for defective merchandise, as noted above.

PACKAGING

EcoMoissanite offers standard branded packaging for all orders. This packaging is designed to complement the elegance and quality of our jewelry. The Retailer may wish to present our pieces under their own brand identity. Therefore, should the Retailer elect to utilize their packaging, please notify us when placing the order. In such instances, all jewelry will be carefully and securely shipped in discreet, generic boxes to accommodate your branding preferences.

SALES AND TAX

The Retailer agrees that it is the sole responsibility of the Retailer to collect, report, and remit all taxes to the correct tax authority for all business transactions, sales, or revenue stemming from the sales of the Wholesaler’s products. The Retailer further agrees that the Wholesaler is not obligated to determine whether a sales tax applies and is not responsible for collecting, reporting, or remitting any tax information from any transaction. The Retailer agrees to supply Tax ID and Sales Tax Certificate to the Wholesaler by email immediately before or after placing the first Wholesale order. The Wholesaler cannot fulfill orders unless first provided with the requested documentation.

RIGHT TO MODIFY

The Wholesaler retains the right to modify this Agreement at any time. Modifications shall apply prospectively and shall not affect previously placed orders.

SEVERABILITY

Suppose any provisions or sections of this Agreement are deemed unlawful, void, or unenforceable for any reason. In that case, they shall be deemed severed from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.

RESPONSIBILITY

The Wholesaler is in no way responsible or liable for the Retailer’s website or store’s content and operation success, accuracy, or legality. Further, the Retailer has independently evaluated the desirability of participating in the Wholesaler’s Wholesale Program and is not relying on any representation, guarantee, or statement other than those outlined in this Agreement.

ONLINE COMMERCE

No products or goods purchased from or produced by the Wholesaler shall be resold by the Retailer through any location other than the Retailer’s URL or brick-and-mortar store, including an online auction (e.g., eBay) and other selling channels (e.g., Walmart, Etsy, Amazon) without the express, written authority of the Wholesaler. Unauthorized third-party resale will immediately terminate the wholesale relationship without further notice.

REPRESENTATION OF PRODUCT

Retailers are not permitted, under any circumstances, to display and/or sell EcoMoissanite designs, whether on their premises or elsewhere, without the packaging/labeling provided unless otherwise agreed. EcoMoissanite retains all rights to all images of products provided and the right to prohibit the use of the images provided.

The Retailer may not alter (e.g., crop, change background colors, add text, change logo) provided photos other than appropriately sized for website and marketing materials. Retailers may not use images in the provided photos for any purpose other than to gain sales. Retailers must describe the product in the appropriate category and may not represent the product in different categories or for other uses without prior authorization from the Wholesaler.

GOVERNING LAW & DISPUTE RESOLUTION

The laws of the United States of America govern these terms and conditions. Any dispute arising out of or relating to these terms and conditions or the sale of our products shall be resolved through binding arbitration by the Commercial Arbitration Rules of the American Arbitration Association.
